End-User License Agreement (EULA) of TRiBL This End-User License Agreement
    ('EULA') is a legal agreement between you and Alibi X Corporation This EULA
    agreement governs your acquisition and use of our TRiBL software
    ('Software') directly from Alibi X Corporation or indirectly through a Alibi
    X Corporation authorized reseller or distributor (a 'Reseller'). Please read
    this EULA agreement carefully before completing the installation process and
    using the TRiBL software. It provides a license to use the TRiBL software
    and contains warranty information and liability disclaimers. If you register
    for a free trial of the TRiBL software, this EULA agreement will also govern
    that trial. By clicking 'accept' or installing and/or using the TRiBL
    software, you are confirming your acceptance of the Software and agreeing to
    become bound by the terms of this EULA agreement. If you are entering into
    this EULA agreement on behalf of a company or other legal entity, you
    represent that you have the authority to bind such entity and its affiliates
    to these terms and conditions. If you do not have such authority or if you
    do not agree with the terms and conditions of this EULA agreement, do not
    install or use the Software, and you must not accept this EULA agreement.
    This EULA agreement shall apply only to the Software supplied by Alibi X
    Corporation herewith regardless of whether other software is referred to or
    described herein. The terms also apply to any Alibi X Corporation updates,
    supplements, Internet-based services, and support services for the Software,
    unless other terms accompany those items on delivery. If so, those terms
    apply. License Grant Alibi X Corporation hereby grants you a personal,
    non-transferable, non-exclusive licence to use the TRiBL software on your
    devices in accordance with the terms of this EULA agreement. You are
    permitted to load the TRiBL software (for example a PC, laptop, mobile or
    tablet) under your control. You are responsible for ensuring your device
    meets the minimum requirements of the TRiBL software. You are not permitted
    to: - Edit, alter, modify, adapt, translate or otherwise change the whole or
    any part of the Software nor permit the whole or any part of the Software to
    be combined with or become incorporated in any other software, nor
    decompile, disassemble or reverse engineer the Software or attempt to do any
    such things - Reproduce, copy, distribute, resell or otherwise use the
    Software for any commercial purpose - Allow any third party to use the
    Software on behalf of or for the benefit of any third party - Use the
    Software in any way which breaches any applicable local, national or
    international law - use the Software for any purpose that Alibi X
    Corporation considers is a breach of this EULA agreement Intellectual
    Property and Ownership Alibi X Corporation shall at all times retain
    ownership of the Software as originally downloaded by you and all subsequent
    downloads of the Software by you. The Software (and the copyright, and other
    intellectual property rights of whatever nature in the Software, including
    any modifications made thereto) are and shall remain the property of Alibi X
    Corporation. Alibi X Corporation reserves the right to grant licences to use
    the Software to third parties. Termination This EULA agreement is effective
    from the date you first use the Software and shall continue until
    terminated. You may terminate it at any time upon written notice to Alibi X
    Corporation. This EULA was created by eulatemplate.com for TRiBL It will
    also terminate immediately if you fail to comply with any term of this EULA
    agreement. Upon such termination, the licenses granted by this EULA
    agreement will immediately terminate and you agree to stop all access and
    use of the Software. The provisions that by their nature continue and
    survive will survive any termination of this EULA agreement. Governing Law
    This EULA agreement, and any dispute arising out of or in connection with
    this EULA agreement, shall be governed by and construed in accordance with
    the laws of United States. This App Contains User-Generated Content.
    Material Terms: As provided in greater detail in this EULA (and without
    limiting the express language of this EULA), you acknowledge the following:
    the Service is licensed, not sold, to you, and you may use the Service only
    as set forth in this EULA; you use the service at your sole risk, and you
    should consult with a physician or other health care professional before
    commencing use of the Service; the use of the Service may be subject to
    separate third party terms of service and fees, including, without
    limitation, your mobile network operator’s (the “Carrier”) terms of service
    and fees, including fees charged for data usage and overage, which are your
    sole responsibility; you consent to the collection, use, and disclosure of
    your personally identifiable information in accordance with TRiBL’s Privacy
    Policy available at http://www.thetriblnetwork.com/privacy (“Privacy
    Policy”); we provide the App to you on an “as is” basis without warranties
    of any kind and TRiBL’s liability to you is limited; disputes arising
    between you and TRiBL will be resolved by binding arbitration. BY ACCEPTING
    PARTICIPATE IN A CLASS ACTION; if you are using the App on an iOS-based
    device, then you agree to and acknowledge the “Notice Regarding Apple,”
    below; and if you Post (defined in Section 6.a below) any Objectionable
    Content (defined below) on the Service, then we may – but have no obligation
    to – take any remedial action that we, in our sole discretion, deem
    necessary and/or appropriate under the circumstances, such as, without
    limitation, suspending or terminating your Account (defined below), removing
    all of your User Content (defined below) from the Service and/or reporting
    you to law enforcement authorities, either directly or indirectly. 6. User
    Content. a. Definition. “User Content” means any content that users upload,
    post or transmit (collectively, “Post”) to or through the Service including,
    without limitation, any text, comments and other works subject to protection
    under the laws of the United States or any other jurisdiction, including,
    but not limited to, patent, trademark, trade secret, and copyright laws, and
    excludes any and all TRiBL Content. b. Screening User Content. TRiBL offers
    end users the ability to submit User Content to or transmit User Content
    through the Service. TRiBL does not pre-screen any User Content, but
    reserves the right to remove, disallow, block, or delete any User Content in
    its sole discretion. In addition, we have the right – but not the obligation
    – in our sole discretion to remove, disallow, block or delete any User
    Content (i) that we consider to violate this EULA or applicable law or
    otherwise constitute Objectionable Content (as defined below); or (ii) in
    response to complaints from other users or licensors of any TRiBL Content,
    with or without notice and without any liability to you. Without limiting
    the preceding sentences of this Section, TRiBL also has the right – but not
    the obligation – to take remedial action in connection with any
    Objectionable Content Posted on the Service as described more fully in
    Section 6.g below. TRiBL does not guarantee the accuracy, integrity,
    appropriateness, availability, or quality of any User Content, and under no
    circumstances will TRiBL be liable in any way for any User Content. c.
    Intellectual Property Rights. SUBJECT TO ANY THIRD PARTY RIGHTS IN ANY
    Licenses to User Content. You hereby grant TRiBL an unrestricted,
    assignable, sublicensable, revocable, royalty-free license throughout the
    universe to reproduce, distribute, publicly display, communicate to the
    public, publicly perform (including by means of digital audio transmissions
    and on a through-to-the-audience basis), make available, create derivative
    works from, retransmit from External Sites, and otherwise exploit and use
    (collectively, “Use”) all or any part of all User Content you Post to or
    through the Service by any means and through any media and formats now known
    or hereafter developed, for the purposes of (i) advertising, marketing, and
    promoting TRiBL and the Service; (ii) displaying and sharing your User
    Content to other users of the Service; and (iii) providing the Service as
    authorized by this EULA. You further grant TRiBL a royalty-free license to
    use your user name, image, voice, and likeness to identify you as the source
    of any of your User Content. You must not Post any User Content on or
    through the Service or transmit to TRiBL any User Content that you consider
    to be confidential or proprietary. Any User Content posted by you to or
    through the Service or transmitted to TRiBL will be considered
    non-confidential and non-proprietary, and treated as such by TRiBL, and may
    be used by TRiBL in accordance with this EULA without notice to you and
    without any liability to TRiBL. e. You Must Have Rights to the Content You
    Post. You must not Post any User Content to the Service if you are not the
    copyright owner of or are not fully authorized to grant rights in all of the
    elements of the User Content you intend to Post to the Service. You
    represent and warrant that: (i) you own the User Content Posted by you on or
    through the Service or otherwise have the right to grant the license set
    forth in this EULA; (ii) the Posting and Use of your User Content on or
    through the Service does not violate the privacy rights, publicity rights,
    copyrights, contract rights, intellectual property rights, or any other
    rights of any person, including, but not limited to, the rights of any
    person visible in any of your User Content; (iii) the Posting of your User
    Content on the Service will not require us to obtain any further licenses
    from or pay any royalties, fees, compensation, or other amounts or provide
    any attribution to any third parties; and (iv) the Posting of your User
    Content on the Service does not result in a breach of contract between you
    and a third party. You agree to pay all monies owing to any person as a
    result of your Posting your User Content on the Service. f. Waiver of Rights
    to User Content. By Posting User Content to or through the Service, you
    waive any rights to prior inspection or approval of any marketing or
    promotional materials related to such User Content. You also waive any and
    all rights of privacy, publicity, or any other rights of a similar nature in
    connection with your User Content, or any portion thereof. To the extent any
    moral rights are not transferable or assignable, you hereby waive and agree
    never to assert any and all moral rights, or to support, maintain, or permit
    any action based on any moral rights that you may have in or with respect to
    any User Content you Post to or through the Service. g. Objectionable
    Content. You are not permitted to, and agree not to, Post any User Content
    to the Service that is or could be interpreted to be (i) abusive, bullying,
    defamatory, harassing, harmful, hateful, inaccurate, infringing, libelous,
    objectionable, obscene, offensive, pornographic, shocking, threatening,
    unlawful, violent, vulgar, or in violation of any applicable laws (including
    laws related to speech); or (ii) promoting any product, good, or service, or
    bigotry, discrimination, hatred, intolerance, racism, or inciting violence
    (including suicide) (collectively, “ObjectionableContent”). The Posting of
    any Objectionable Content may subject you to third party claims and none of
    the rights granted to you in this EULA may be raised as a defense against
    any third party claims arising from your Posting of Objectionable Content.
    You also agree not to use the Service for illegal or unlawful purposes. If
    you encounter any Objectionable Content on the Service, then please
    immediately email TRiBL at ikechi@thetriblnetwork.com or inform us through
    the functionality offered on the Service. You acknowledge and agree that
    TRiBL provides you with the ability to report Objectionable Content as a
    courtesy, and TRiBL has no obligation to remove or take any other action
    with respect to any Objectionable Content on the Service that you report to
    us. However, TRiBL in its sole discretion may take any actions it deems
    necessary and/or appropriate against any User who Posts Objectionable
    Content on the Service, including, but not limited to, warning the User,
    suspending or terminating the user’s Account, removing all of the user’s
    User Content Posted on the Service, and/or reporting the user to law
    enforcement or other authorities, either directly or indirectly. h. No
    Liability. For the avoidance of doubt, TRiBL will not be liable for any
    unauthorized use of User Content by any end user. 7. Restrictions on Use of
    the Service. a. In addition to any other restrictions set forth in this
    EULA, and without limiting those restrictions, when using the Service, you
    agree not to (and not to attempt to): i. make unauthorized copies or
    derivative works of any content made available on or through the Service,
    including, but not limited to, TRiBL Content; ii. use any device, software,
    or routine to interfere or attempt to interfere with the proper working of
    the Service, or any activity conducted on the Service; iii. attempt to
    decipher, decompile, disassemble, or reverse engineer any of the software or
    source code comprising or making up the Service; iv. delete or alter any
    material TRiBL or any other person or entity Posts on the Service; v. frame
    or link to any of the materials or information available on the Service; vi.
    alter, deface, mutilate, or otherwise bypass any approved software through
    which the Service is made available; vii. use any trademarks, service marks,
    design marks, logos, photographs, or other content belonging to TRiBL or
    obtained from the Service; viii. access, tamper with, or use non-public
    areas of the Service, TRiBL’s (and its hosting company’s) computer systems
    and infrastructure, or the technical delivery systems of TRiBL’s providers;
    ix. provide any false personal information to TRiBL; x. create a false
    identity or impersonate another person or entity in any way; xi. create a
    new account with TRiBL, without TRiBL’s express written consent, if TRiBL
    has previously disabled an account of yours; xii. solicit, or attempt to
    solicit, personal information from other users of the Service; xiii.
    restrict, discourage, or inhibit any person from using the Service, disclose
    personal information about a third person on the Service or obtained from
    the Service without the consent of that person, or collect information about
    Users of the Service; xiv. use the Service to send emails or other
    communications to persons who have requested that you not send them
    communications; xv. use the Service, without TRiBL’s express written
    consent, for any commercial or unauthorized purpose, including communicating
    or facilitating any commercial advertisement or solicitation or spamming;
    xvi. gain unauthorized access to the Service, to other users’ accounts,
    names, or personally identifiable information, or to other computers or
    websites connected or linked to the Service; xvii. Post any virus, worm,
    spyware, or any other computer code, file, or program that may or is
    intended to disable, overburden, impair, damage, or hijack the operation of
    any hardware, software, or telecommunications equipment, or any other aspect
    of the Service or communications equipment and computers connected to the
    Service; xviii. interfere with or disrupt the Service, networks, or servers
    connected to the Service or violate the regulations, policies, or procedures
    of those networks or servers; or xix. violate any applicable federal, state,
    or local laws or regulations or the terms of this EULA.
